H. Other than with University prior written consent of Licensor, exam be granted or withheld in Licensors sole discretion, Licensee shallnot enter into any agreements referring to examination University placement of paid listings for key-phrase or similar Website searches that include any of University Licensed Marks either alone or in combination with other words or phrases. Upon expiration ortermination of this Agreement, Licensee shall assign any agreements pertaining to exam University placement of listings in response examination Website search terms and keywords that come with University Licensed Marks exam Licensor, unless such agreements by their own terms arenon assignable, wherein case Licensee shall terminate such agreements. A. Licensee admits University validity, and GEs ownership, of University Licensed Marks and agrees that any and all goodwill, rights orinterests that could be acquired by University use of University Licensed Marks by Licensee shall inure examination University sole advantage of GE. If Licensee obtains rights or interests in University Licensed Marks, Licensee hereby transfers, and shall execute upon request by Licensorany additional files or devices necessary or beautiful examination transfer, those rights or pursuits examination GE and its Affiliates.
